History

Doğuş REIT launched operations on July 25, 1997, under the title of Osmanlı REIT, and held its IPO on March 25, 1999, as the third real estate investment trust to be traded on the Istanbul Stock Exchange. 

By the end of 2001, two Doğuş Group companies, Osmanlı Bank and Garanti Bank, merged and, with this transaction, 51 percent of the Osmanlı REIT shares were transferred to Garanti Bank whereby the company became a subsidiary of Garanti Bank under the title Garanti REIT. 

Garanti REIT laid the foundations of its first residential project, Evidea, in November 2004. Developed on land with an area of 34,000 m² in total, Project EVIDEA consists of a construction area of 101,000 m², including a residence area of 73,000 m² and a social facility area of 24.500 m². All houses within Project EVIDEA, developed with the combined experience of Garanti REIT and Yapı Kredi Koray in real estate development and financing, had been delivered to the respective owners as of the end of 2007. 

Garanti REIT commenced constructing the Dogus Center Maslak project in Maslak, Istanbul, in June 2005. Doğuş Center Maslak, which has a total area of 63,202 square meters, of which 47,398 square meters is rentable space, was opened on November 9, 2006. 

Upon the sale of the Garanti REIT shares held by Garanti Bank to General Electric (GE) Capital Corporation and Dogus Holding, the shareholding structure of our company changed as of December 1, 2006, to 25.5% held by Dogus Holding, 25.5% held by GE and, 49% by the public, and the corporate name changed to Dogus-GE REIT as of the same date. 

In January 2011, General Electric (GE) Capital Corporation sold all of its shares in Doğuş-GE REIT to Doğuş Group, whereby the company’s shareholder structure became 51 percent Doğuş Group and 49 percent publicly traded. The company’s trade name was changed to Doğuş REIT on the same date. 

As a result of the partial demerger completed on December 26, 2013, the Gebze Center Shopping Center was included in the real estate portfolio of Dogus REIT. Construction of the Gebze Center Shopping Center by Dogus Gayrimenkul Yatırım ve İşletme A.Ş. commenced in August 2008. The Project entered operation on September 3, 2010, with a rentable area of 59,054 m2 and 130 stores.

With the inclusion of the Gebze Center Shopping Center into the real estate portfolio of Dogus REIT, development efforts were underway to create a mixed life center by extending the existing shopping center to include additional buildings and a hotel project. The project started construction with the respective building license obtained on February 20, 2015. The project, consisting of a construction area of 47,045 thousand m2, features a 158-room hotel and various commercial areas. 

Our Corporate Governance Principles Compliance Rating Score for the period of 28.06.2016–28.06.2017 increased by 11.36% to 8.92 compared to the previous assessment. Duly, at the International Corporate Governance Summit X organized on 19.01.2017 by the Corporate Governance Association of Türkiye (TKYD), our Company was acknowledged as the one to have increased its score in the BIST Corporate Governance Index the most.  

As a result of the partial demerger completed on September 6, 2016, the Dogus Center Etiler was included in the real estate portfolio of Dogus REIT. Doğuş Center Etiler: this real estate is one of the most significant office buildings in the region, consisting of 45 independent sections on land of 36,440.80 m2. 

The Gebze Center Hotel and Additional Buildings project, the investment of which began in 2015, was completed in 2017, and the hotel opened under the “Hyatt House Gebze” brand. The rental procedures for the automotive showroom and the service area, as well as additional Shopping Center units, have been completed. 

Our Corporate Governance Principles Compliance Rating Score for the period of 31.05.2017–31.05.2018 significantly increased compared to the previous assessment. Duly, at the International Corporate Governance Summit XI organized by the Corporate Governance Association of Türkiye (TKYD), our Company was successively awarded for having increased its score in the BIST Corporate Governance Index the most.  

As a leading corporation in the sector, Doğuş Real Estate Investment Trust is proud to have received this prize on two successive occasions, confirming its full compliance with Corporate Governance Principles, considered the Dogus Group's foundation. 

The sales procedures for Antalya 2000 Plaza were completed in June 2018, and it has been removed from our portfolio of real estate investments. 

In December 2018, the D-Ofis Maslak office building and Doğuş Etiler Sports Center, located in the Maslak region, a key Istanbul business and commercial center, were purchased. D-Ofis Maslak is considered a valuable office building due to its prestigious location, which features offices, shopping centers, luxury houses, and residences. Its usable area is 40,438 m2. Doğuş Etiler Sports Center is operated by D-Gym, being one of the most prestigious sports centers in Istanbul, and consists of 6,745 m2 of leasable area.

The sale of the Doğuş Center Etiler office building, consisting of 45 independent sections in our real estate portfolio, was completed in April 2022, and the project left our real estate investment portfolio.  

On 09.03.2023, the sale and transfer process for the purchase of the shares of Doğuş Holding A.Ş., representing 93.65% of the total capital of Doğuş Real Estate Investment Trust, by Doğuş Otomotiv Servis ve Ticaret A.Ş. (DOAS) was completed. The share of Doğuş Otomotiv Servis ve Ticaret A.Ş. (DOAS) in the partnership structure of Doğuş REIT was 93.65%. 

With the PDP statement issued by Doğuş Otomotiv Servis ve Ticaret A.Ş. (DOAS) dated 21.11.2023, it was reported that the transaction regarding the purchase of all Group (A) shares representing 0.7845% of the company capital with a nominal value of TL 2,604,451.09, which includes the privilege of nominating candidates for election to the Board of Directors of Doğuş Real Estate Investment Trust, was completed. Thus, the share of Doğuş Otomotiv Servis ve Ticaret A.Ş. (DOAS) in Doğuş REIT's partnership structure became 94.4362%.  

As of the end of 2023, the value of Doğuş REIT’s investment real estate portfolio consisting of Doğuş Center Maslak, D-Ofis Maslak, Doğuş Etiler Sports Center, Gebze Center - Shopping Center, Gebze Center - Hotel (Hyatt House Gebze), Gebze Center - Automotive Showroom and Service real estate reached approximately TL 9.9 billion.
